Dennis M. Holmgren has advised a variety of clients in both transactional and litigation related matters.  Prior to joining SN, Mr. Holmgren worked as an attorney for Anadarko Petroleum Corporation, where he was assigned to the Contracts, Marketing, and Intellectual Property Practice Group.   Currently, Mr. Holmgren represents a variety of clients in both transactional and litigation related matters.

Representative Matters

  • Represented cosmetic device manufacturer as a defendant in a multimillion dollar patent infringement action brought by a competitor relating to certain hair growth technology. SN appeared in the case approximately 100 days from trial. At that point, limited written discovery had been completed. SN completed discovery including all depositions, briefed Markman issues, Daubert/Robertson challenges, and filed dispositive motions. Shortly before trial, SN obtained a very favorable settlement at mediation.

  • Represented two subsidiaries of a large, publicly traded, real estate development company in a fraud action involving their purchase of a large parcel of development property near Austin, Texas. SN obtained a settlement valued at over $7MM.

  • Represented insureds (vast majority of Defendants) closing agents in $9.3 million loan fraud case, with strong reservation of rights involved, resulting in a $50,000.00 settlement.

  • Represented Dallas health care company in $60 million private placement.

  • Represented investor in the aftermath of a dot.com failure in litigation relative to the failed company and its largest creditor, a large computer hardware manufacturer, relating to trade secrets, securities fraud, and breach of contract claims.

  • Represent a major international trader of physical commodities in a contract dispute with California software licensor involving a failed software modification and deployment project.

  • Represented Dallas health care company in a negotiation and consummation on an $85 million credit facility.

  • Negotiated and drafted series of agreements for a complex software development project involving multiple vendors, the licensing of existing software, the development of new software, and the marketing of the finished product.

  • Negotiated and drafted a multimillion dollar technology development agreement involving the development and testing of new technology, the provision of hardware and software, and long-term services.

  • Drafted and negotiated complex license agreement between two (2) large companies involving a new oilfield technology that was still in the patent prosecution stage.

  • Negotiated a significant multimillion dollar license agreement with a large software vendor for enterprise resource planning software. Negotiated related implementation agreement with large national consulting firm.

  • Drafted and negotiated numerous software and technology licensing and service agreements.

  • Drafted and negotiated numerous geological geophysical data licensing, acquisition, and processing agreements.

  • Represented client in negotiating several Cooperative Research and Development Agreements with the Department of Energy for the development and testing of new technology.

  • Negotiated several Work for Others Agreements and other cooperative research agreements with several US Government sponsored laboratories.

  • Represented clients in several consortium agreements with both public and private universities.

  • Represented clients in two patent waiver petitions to the United States Government regarding inventions derived from government-sponsored research.

  • Negotiated several long term services agreements for voice, data, and mobile services with leading telecommunications providers.
