  • Representing a Dallas investment group in a $5 million convertible note offering to investors in the U.K. pursuant to Regulation S.

  • Represented Dallas health care company in $60 million private placement.

  • Represented management of large Austrian company in proposed unwinding of cross-owned affiliates resulting in MBO of one affiliate (with issues arising under Austrian, Swiss, and U.S. tax, reorganization, partnership, and corporate law).

  • Represent Dallas company in development of $5 million radiation oncology center.

  • Represented Dallas health care company in a negotiation and consummation on an $85 million credit facility.

  • Representing the SPE Borrowers and public company guarantor in multiple simultaneously closing conduit loans, with aggregate loan proceeds of approximately $100 million, for the purchase of an entire developed major intersection in Dallas.

  • Represented SPE Borrowers in two (2) simultaneous conduit loans, with aggregate loan proceeds of approximately $9 million, relative to the purchase of three (3) commercial properties in Mississippi.

  • Represented a national bank lender in a $6 million development construction loan relative to development of a single family residential development in North Dallas.

  • Represented a national chain of steakhouses in negotiation and consummation of a $7.5 million minimum rent lease for a waterfront South Beach location.

  • Represented a Dallas investment group in the purchase of a portfolio of SPE entities owning and maintaining (in various stages of development) eight (8) commercial multi-family low income housing projects throughout the Deep South.

  • Represent the developer of a $100MM mixed use multi-building real estate development in downtown Dallas.

  • Represent the sellers in a $38MM sale of real property for development purposes outside of Ft. Worth.

  • Represent several hedge funds and investment advisers regarding all operational, accounting, and offering issues, including issues relative to new SEC regulations.

  • Represent large DFW real estate development company in numerous significant real estate, corporate governance, and financing matters.

  • Represented commodities trading firm in its $1 million sale to a competitor.

  • Represented clients in over ten (10) multi-million dollar real estate financing transactions during the past year.

  • Represent large commodities trading firm in general corporate and transactional matters.

  • Represent underwriter in broker-dealer regulation, general transactional, and general corporate matters.

  • Represented Exchange Act reporting company relative to corporate, securities, and technology issues and transactions including Exchange Act reporting, a $12 million convertible debt offering, and a $17 million software licensing and development transaction.
